These Terms of Service ("Terms") govern your access to and use of the Guest360 website, platform, applications, digital guest guides, and related services (collectively, the "Service").

By accessing or using Guest360, you agree to be bound by these Terms. If you do not agree with these Terms, you should not use the Service.

If you are using Guest360 on behalf of a company, hotel, property, or other organization, you represent that you have the authority to accept these Terms on its behalf.

1. About Guest360

Guest360 is a digital hospitality platform that allows businesses and property owners to create, manage, and share digital guest guides.

Guest guides may contain information such as:

• Property information

• Check-in and check-out instructions

• Wi-Fi information

• House rules

• Amenities

• Emergency information

• Restaurant recommendations

• Local attractions

• Activities

• Transportation information

• Maps and directions

• Contact information

• Other information provided by the guide owner

Guest360 provides the technology used to create and deliver these guides.

Guest360 does not own, manage, operate, or represent the properties, hotels, restaurants, attractions, transportation providers, or other businesses that may be referenced in a guest guide unless explicitly stated otherwise.

2. Eligibility

You may use Guest360 only if you are legally capable of entering into a binding agreement under the laws applicable to you.

If you are using Guest360 on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms.

3. Guest360 Accounts

Certain features require you to create an account.

When creating an account, you agree to:

• Provide accurate and current information.

• Keep your login credentials confidential.

• Not share your account with unauthorized individuals.

• Notify us promptly if you suspect unauthorized access.

• Be responsible for activity performed through your account.

You are responsible for maintaining the security of your account.

Guest360 is not responsible for losses resulting from your failure to protect your account credentials.

4. Subscriptions and Plans

Guest360 may offer different subscription plans, features, usage limits, and pricing.

The available plans and their features may change from time to time.

Depending on the selected plan, limits may apply to features such as:

• Number of guest guides

• Number of properties

• Number of users

• Storage

• Guest visits

• Customization options

• Analytics

• AI features

• Branding

• Integrations

• Other platform functionality

The specific features and limitations applicable to your account will be presented during the subscription process.

5. Free Trials and Free Plans

Guest360 may offer free plans or free trials.

Unless otherwise stated:

• Free plans may have limited functionality.

• Free trials may expire automatically.

• We may change or discontinue free plans or trials.

• Certain features may only be available on paid plans.

• You may be required to provide payment information for certain trials.

At the end of a trial, your account may be downgraded, suspended, or converted to a paid subscription depending on the terms presented when you started the trial.

6. Payments and Billing

Paid subscriptions may be billed monthly, annually, or according to the billing period selected during purchase.

You agree to provide accurate billing and payment information.

Unless otherwise stated:

• Subscription fees are charged in advance.

• Subscription fees are generally non-refundable.

• Taxes may be added where required by law.

• Failed payments may result in suspension or limitation of the Service.

• Pricing may change for future billing periods with reasonable notice.

Any applicable refund rights required by law remain unaffected by this section.

7. Cancellation

You may cancel your subscription according to the cancellation options available through your account or by contacting us.

Unless otherwise stated, cancellation will stop future subscription renewals but will not automatically refund amounts already paid for the current billing period.

After cancellation, you may continue to access paid features until the end of your current subscription period.

8. User Content

Guest360 allows users to create and upload content, including:

• Text

• Images

• Logos

• Property information

• Contact information

• Instructions

• Recommendations

• Links

• Documents

• Other materials

This content is referred to as "User Content."

You retain ownership of User Content that you submit to Guest360.

However, you grant Guest360 a limited, worldwide, non-exclusive license to host, store, reproduce, process, display, and transmit your User Content solely as necessary to provide and operate the Service.

This license ends when your User Content is deleted, except where retention is required by law or reasonably necessary for legitimate business purposes.

9. Your Responsibility for Content

You are solely responsible for the User Content you publish through Guest360.

You represent and warrant that:

• You have the necessary rights to use the content.

• Your content does not violate applicable laws.

• Your content does not infringe intellectual-property rights.

• Your content does not contain unlawful or fraudulent information.

• You have obtained any required permissions or consents.

• Your content does not intentionally contain malicious code.

For example, if you upload photographs of a property, you must have the necessary rights or permissions to use those photographs.

10. Guest Information

If you use Guest360 to collect information from guests, you are responsible for ensuring that your collection and use of that information complies with applicable privacy and data-protection laws.

Depending on the circumstances, you may act as the data controller for information collected from your guests, while Guest360 may process such information on your behalf.

You are responsible for:

• Providing appropriate privacy notices.

• Obtaining required consents.

• Collecting only information that is necessary.

• Responding to guest privacy requests where applicable.

• Ensuring that your use of guest information complies with applicable law.

Additional data-processing terms may apply between Guest360 and business customers.

11. Guest Guides

Guest guides are created and controlled by the businesses, hosts, hotels, property managers, or other users who publish them.

Guest360 does not guarantee that information contained in a guest guide is:

• Accurate

• Complete

• Current

• Reliable

• Available

• Suitable for a particular purpose

Information such as restaurant opening hours, prices, transportation schedules, attraction availability, directions, recommendations, and third-party services may change without notice.

Users should verify important information directly with the relevant provider.

12. Third-Party Services and Links

Guest guides may contain links or references to third-party services, including:

• Restaurants

• Hotels

• Attractions

• Booking services

• Transportation providers

• Maps

• Payment providers

• External websites

• Other businesses

Guest360 does not control these third parties.

Your use of third-party services is subject to their own terms and privacy policies.

Guest360 is not responsible for:

• Third-party content

• Third-party availability

• Third-party pricing

• Third-party services

• Third-party products

• Third-party privacy practices

• Transactions between you and third parties

13. Prohibited Uses

You agree not to use Guest360 to:

• Violate any applicable law.

• Commit fraud.

• Impersonate another person or organization.

• Upload malicious software.

• Attempt to gain unauthorized access to the platform.

• Interfere with platform security.

• Reverse engineer the Service except where legally permitted.

• Scrape or systematically extract platform data without authorization.

• Abuse APIs or technical infrastructure.

• Send spam or malicious communications.

• Store or distribute unlawful content.

• Infringe intellectual-property rights.

• Use the platform to facilitate illegal activities.

• Attempt to circumvent subscription or usage limits.

We may suspend or terminate accounts involved in prohibited activities.

14. AI-Powered Features

Guest360 may provide AI-powered functionality, including features that assist with:

• Writing guest-guide content

• Generating descriptions

• Creating recommendations

• Translating content

• Summarizing information

• Improving text

• Other automated content-generation tasks

AI-generated content may contain errors, omissions, inaccuracies, or outdated information.

AI-generated content should be reviewed by the user before being published or relied upon.

Guest360 does not guarantee that AI-generated content is accurate, complete, original, or suitable for a particular purpose.

You remain responsible for content published through your account, including content generated with the assistance of AI.

15. Intellectual Property

The Guest360 platform, including its software, design, branding, logos, interface, documentation, and underlying technology, is owned by or licensed to Guest360 and is protected by applicable intellectual-property laws.

Except as expressly permitted by these Terms, you may not:

• Copy the platform.

• Modify the platform.

• Reproduce the platform.

• Sell or sublicense the platform.

• Distribute the platform.

• Reverse engineer the platform where prohibited by law.

• Create derivative works from the platform.

• Use Guest360 branding without authorization.

Your subscription gives you a limited right to use the Service. It does not transfer ownership of Guest360's intellectual property to you.

16. Guest360 Branding

Depending on your subscription plan, Guest360 may allow you to customize the appearance and branding of your guest guides.

Certain plans may allow removal of Guest360 branding.

You may not use Guest360's trademarks, logos, or branding in a way that suggests that Guest360 sponsors, operates, or endorses your business unless expressly authorized.

17. Service Availability

We aim to provide a reliable service, but we do not guarantee that Guest360 will:

• Always be available

• Be uninterrupted

• Be completely error-free

• Be completely secure

• Work with every device or browser

• Remain unchanged

The Service may occasionally be unavailable because of:

• Maintenance

• Updates

• Technical problems

• Security incidents

• Infrastructure failures

• Internet problems

• Third-party service failures

• Events outside our reasonable control

We may modify, suspend, or discontinue parts of the Service when reasonably necessary.

18. Backups and Data

We may maintain backups of information stored on the platform.

However, you are responsible for maintaining copies of important content that you upload.

Guest360 does not guarantee that deleted, corrupted, or lost information can always be recovered.

19. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Guest360 is provided "as is" and "as available."

We make no warranties, express or implied, regarding:

• Availability

• Reliability

• Accuracy

• Fitness for a particular purpose

• Merchantability

• Non-infringement

• Results obtained from using the Service

Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

20. Limitation of Liability

To the maximum extent permitted by applicable law, Guest360 and its owners, employees, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

This may include losses resulting from:

• Lost profits

• Lost revenue

• Lost business opportunities

• Loss of data

• Business interruption

• Third-party services

• Incorrect guest-guide information

• Reliance on AI-generated content

To the maximum extent permitted by law, Guest360's total liability arising from the Service will be limited to the amount you paid to Guest360 for the Service during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

21. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Guest360 and its affiliates, officers, employees, contractors, and service providers from claims, damages, liabilities, costs, and expenses arising from:

• Your use of the Service

• Your User Content

• Your violation of these Terms

• Your violation of applicable law

• Your violation of another person's rights

• Your collection or processing of guest information

• Your use of third-party services

22. Suspension and Termination

We may suspend or terminate your account if:

• You materially violate these Terms.

• You engage in fraudulent or abusive activity.

• Your use creates a security risk.

• You fail to pay applicable fees.

• We are legally required to do so.

• Your account presents a significant risk to Guest360 or other users.

Where reasonably possible, we may provide notice before termination.

You may stop using Guest360 at any time.

23. Effect of Termination

After termination:

• Your right to use the Service will end.

• Your access to certain account features may be removed.

• Your guest guides may become unavailable.

• Your data may be deleted according to our retention policies and applicable law.

Certain provisions of these Terms will continue after termination, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.

24. Changes to These Terms

We may update these Terms from time to time.

When changes are made, we may update the "Last Updated" date.

For significant changes, we may provide additional notice where appropriate.

Your continued use of Guest360 after the updated Terms become effective means that you accept the revised Terms.

25. Governing Law
